SmartCal Terms of Service

Overview
These Terms of Service ("Terms") govern your access to and use of SmartCal, a calendar-automation software-as-a-service ("Service") operated by SR PRO Group.
"SR PRO Group" refers collectively to SR Professional Marketing Inc., a Maryland corporation (serving US-based clients), and SR Professional Marketing Ltd., an Israeli company (serving Israeli and other international clients), both wholly owned by Ronen Wasserman. References to "SR PRO Group," "we," "us," or "our" in these Terms apply to whichever entity provides the Service to you based on your geographic location and applicable engagement.
- US clients are served by SR Professional Marketing Inc., 6903 Tilden Lane, Rockville, MD 20852, United States.
- Israeli and international clients are served by SR Professional Marketing Ltd., Israel.
By accessing or using SmartCal, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1. Acceptance of Terms
By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you represent that you have read, understood, and agree to be bound by these Terms and any additional guidelines or policies incorporated herein by reference.
If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and references to "you" include both you individually and that organization.
These Terms constitute a legally binding agreement between you and SR PRO Group. SR PRO Group reserves the right to update these Terms at any time as set out in Section 19.
2. Eligibility
To use the Service, you must:
- Be at least 18 years of age;
- Have the legal capacity to enter into a binding contract in your jurisdiction;
- Not be a person or entity that is prohibited from receiving services under the laws of the United States, including the laws administered by the Office of Foreign Assets Control ("OFAC") of the U.S. Department of the Treasury, or any applicable export controls or sanctions laws;
- Not be located in, organized under, or a resident of any country or territory subject to comprehensive U.S. government sanctions (currently including Cuba, Iran, North Korea, Syria, the Crimea region, the Donetsk People's Republic, and the Luhansk People's Republic, as updated from time to time); and
- Not be on any U.S. government list of prohibited or restricted persons or entities, including the OFAC Specially Designated Nationals List.
By using the Service, you represent and warrant that you meet all of the foregoing eligibility requirements.
3. Account Registration and Authorization
3.1 Account Creation
To access the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
3.2 Google Account Authorization
SmartCal requires you to authorize access to your Google account via Google OAuth 2.0. By connecting your Google account, you grant SmartCal permission to access your Google Calendar using the calendar.events scope. This authorization allows SmartCal to create, read, update, and delete calendar events on your behalf for the purpose of sending event invitations to registrants.
You may revoke this authorization at any time through your Google Account settings at myaccount.google.com. Revoking authorization will prevent SmartCal from sending further calendar invitations on your behalf.
3.3 Microsoft Account Authorization
SmartCal requires you to authorize access to your Microsoft account via Microsoft OAuth 2.0. By connecting your Microsoft account, you grant SmartCal permission to access your Microsoft Outlook Calendar for the purpose of creating and managing calendar event invitations for registrants.
You may revoke this authorization at any time through your Microsoft account settings. Revoking authorization will prevent SmartCal from sending further calendar invitations via Outlook on your behalf.
3.4 Token Security
OAuth access tokens and refresh tokens obtained through your Google or Microsoft authorization are encrypted at rest using AES-256-CBC encryption and are transmitted exclusively over TLS 1.2 or higher. Access to our servers is restricted via IP whitelisting. We do not store your Google or Microsoft account password.
4. Description of Service
SmartCal is a calendar-automation SaaS platform that enables operators (such as webinar hosts, event organizers, and similar users) to send Google Calendar and Microsoft Outlook calendar invitations to event registrants at scale. The core functionality includes:
- Automated generation and delivery of calendar event invitations (Google Calendar and Microsoft Outlook);
- Management of event details including title, date, time, location (virtual or physical), and description;
- Tracking of invitation delivery status.
The Service is hosted on infrastructure provided by DigitalOcean, LLC, located in Amsterdam, Netherlands (European Union).
SR PRO Group reserves the right to modify, suspend, or discontinue any feature or aspect of the Service at any time with reasonable notice where practicable.
5. License Grant and Restrictions
5.1 License Grant
Subject to your compliance with these Terms, SR PRO Group grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes and in accordance with these Terms.
5.2 Restrictions
You may not, and may not permit others to:
- Copy, modify, adapt, translate, reverse engineer, disassemble, decompile, or create derivative works based on the Service;
- Sell, resell, license, sublicense, rent, lease, or otherwise transfer or exploit the Service for commercial purposes not authorized by SR PRO Group;
- Use the Service to build a competing product or service;
- Access the Service by any means other than the interface provided or expressly authorized by SR PRO Group;
- Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on any portion of the Service;
- Use any automated means (including robots, scrapers, or data mining tools) to access the Service in a manner that exceeds normal usage patterns;
- Circumvent or attempt to circumvent any security measures or access controls of the Service.
6. Your Data and Content
6.1 Your Ownership
As between you and SR PRO Group, you retain all rights, title, and interest in and to the data, content, and information you submit to or generate through the Service ("Your Data"), including registrant contact information and event details.
6.2 License to SR PRO Group
You grant SR PRO Group a worldwide, non-exclusive, royalty-free license to access, process, store, and use Your Data solely to the extent necessary to provide and improve the Service for you and to comply with applicable law. We will not use Your Data for any purpose beyond operating and improving the Service.
6.3 Your Responsibilities
You are solely responsible for:
- The accuracy, quality, legality, and appropriateness of Your Data;
- Ensuring you have all necessary rights, consents, and permissions to submit Your Data to the Service and to authorize SR PRO Group to process it;
- Ensuring that your use of the Service complies with all applicable laws, including data protection and anti-spam laws;
- Obtaining all necessary consents from registrants to send them calendar invitations via Google Calendar or Microsoft Outlook.
6.4 Data Retention
SR PRO Group will retain Your Data for as long as your account is active or as necessary to provide the Service. Upon termination of your account, we will retain and delete Your Data in accordance with our Privacy Policy and applicable law.
7. Google API Services
7.1 Compliance with Google API Services User Data Policy
SmartCal's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.
7.2 Limited Use Disclosure
Notwithstanding any other provision of these Terms, SmartCal's use of data received through Google APIs is subject to the following restrictions:
- Limited Use: SmartCal will use the data obtained from Google APIs only to provide and improve the SmartCal calendar-invitation service. We will not use Google user data for any other purpose.
- No Advertising: SmartCal will not use Google user data to serve advertisements or for any advertising-related purpose, including building advertising profiles.
- No Sale of Data: SmartCal will not sell, transfer, or disclose Google user data to third parties except as necessary to operate the Service (e.g., to our authorized sub-processors) or as required by law.
- No Unauthorized Transfer: SmartCal will not allow humans to read Google user data unless you have given express permission, it is necessary for security purposes, it is required by law, or the use is limited to internal operations as permitted by the Google API Services User Data Policy.
- Scope Limitation: SmartCal requests only the
calendar.eventsscope from Google OAuth. We do not request access to Gmail, Google Drive, Google Contacts, or any other Google service.
7.3 Revoking Google Access
You may revoke SmartCal's access to your Google account at any time via your Google Account security settings. Revocation will immediately prevent SmartCal from creating or modifying Google Calendar events on your behalf.
8. Microsoft API Services
8.1 Compliance with Microsoft API Terms
SmartCal's use of data received through Microsoft APIs is governed by the Microsoft API Terms of Use and applicable Microsoft identity platform documentation.
8.2 Limited Use Disclosure
SmartCal's use of data obtained through Microsoft APIs (including Microsoft Outlook and Microsoft Graph) is subject to the following restrictions:
- Limited Use: SmartCal will use the data obtained from Microsoft APIs only to provide and improve the SmartCal calendar-invitation service. We will not use Microsoft user data for any other purpose.
- No Advertising: SmartCal will not use Microsoft user data to serve advertisements or for any advertising-related purpose, including building advertising profiles.
- No Sale of Data: SmartCal will not sell, transfer, or disclose Microsoft user data to third parties except as necessary to operate the Service (e.g., to our authorized sub-processors) or as required by law.
- Scope Limitation: SmartCal requests only the minimum calendar scopes necessary to create and manage calendar event invitations through Microsoft Outlook. We do not request access to email content, contacts, documents, or other Microsoft services beyond calendar functionality.
8.3 Revoking Microsoft Access
You may revoke SmartCal's access to your Microsoft account at any time via your Microsoft account security settings. Revocation will immediately prevent SmartCal from creating or modifying Outlook Calendar events on your behalf.
9. Team Accounts
9.1 Team Features
If your subscription plan (when available) includes team or multi-user functionality, the individual who creates the team account ("Team Administrator") may invite additional users ("Team Members") to access the Service under that account.
9.2 Team Administrator Responsibilities
The Team Administrator is responsible for:
- Managing Team Member access, permissions, and roles;
- Ensuring all Team Members comply with these Terms;
- All activity performed by Team Members under the team account.
9.3 Team Member Access
Team Members access the Service subject to these Terms. SR PRO Group has no obligation to any Team Member beyond what is provided to the account as a whole. If the Team Administrator's account is suspended or terminated, all Team Member access will be suspended or terminated accordingly.
9.4 Removal of Team Members
The Team Administrator may remove Team Members at any time. SR PRO Group is not liable for any consequences arising from the addition or removal of Team Members.
10. Prohibited Conduct
You agree not to use the Service to:
- Send unsolicited calendar invitations or spam to individuals who have not consented to receive them;
- Violate any applicable local, state, national, or international law or regulation, including the CAN-SPAM Act, GDPR, or equivalent data protection legislation;
- Infringe or misappropriate the intellectual property rights of any third party;
- Transmit any material that is defamatory, obscene, harassing, threatening, or otherwise objectionable;
- Impersonate any person or entity, or falsely claim an affiliation with any person or entity;
- Introduce viruses, worms, malware, ransomware, or other harmful code into the Service or its infrastructure;
- Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service;
- Interfere with or disrupt the integrity, performance, or availability of the Service;
- Harvest or collect any personally identifiable information from the Service without authorization;
- Use the Service in any manner that could impose an unreasonable or disproportionately large load on SR PRO Group's infrastructure;
- Use the Service in connection with any fraudulent or deceptive activity.
SR PRO Group reserves the right to suspend or terminate your account immediately and without prior notice if you engage in any prohibited conduct.
11. Fees and Billing
11.1 Current Status
SmartCal is currently in pre-launch and does not charge subscription fees. Access during this period is provided at no cost. SR PRO Group will provide reasonable advance notice before introducing any paid plans.
11.2 Future Subscription Plans (Placeholder)
SR PRO Group intends to offer paid subscription plans in the future. When subscription plans are introduced:
- Pricing: Applicable fees, billing cycles, and plan features will be published on the SmartCal website and incorporated into these Terms or a separate Order Form.
- Payment Processor: Payments will be processed by Stripe, Inc. ("Stripe"). By providing payment information, you agree to Stripe's Terms of Service and Privacy Policy. SR PRO Group does not store full credit card or payment account numbers.
- Billing Cycle: Subscriptions will be billed on a recurring basis (monthly or annually, depending on the selected plan) unless cancelled.
- Automatic Renewal: Subscriptions will automatically renew at the end of each billing period unless you cancel before the renewal date.
- Cancellation: You may cancel your subscription at any time. Unless otherwise specified, cancellation will take effect at the end of the current billing period and you will not receive a refund for any unused portion of the subscription period.
- Changes to Pricing: SR PRO Group reserves the right to change subscription pricing with at least 30 days' notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
- Taxes: Prices do not include applicable taxes (such as VAT or sales tax). You are responsible for all applicable taxes.
11.3 Currency
All fees for the Service will be charged in United States Dollars (USD) unless otherwise specified in a separate Order Form or written agreement.
11.4 Late Payment
Where subscription fees apply, amounts not paid by the due date will be subject to a grace period of fourteen (14) days. If payment is not received within the grace period, SR PRO Group reserves the right to suspend access to the Service until payment is received in full. Continued non-payment following suspension may result in termination of your account in accordance with these Terms.
11.5 Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting us at privacy@srpro.marketing. Cancellation takes effect at the end of your current billing period. You will retain access to the Service through the end of the period for which fees have already been paid.
Fees paid for any billing period are non-refundable, except:
- Where required by applicable law;
- Where SR PRO Group has materially failed to provide the Service as described in these Terms and has not remedied the failure within a reasonable time after written notice; or
- As expressly stated in a separate written agreement between you and SR PRO Group.
Pro-rata refunds for unused portions of a billing period are not provided unless required by applicable law.
11.6 Free Trials and Promotions
SR PRO Group may, at its discretion, offer free trials or promotional access. At the conclusion of any free trial, your access will either convert to a paid subscription or terminate, as specified at the time of the offer.
12. Intellectual Property
12.1 SR PRO Group Ownership
The Service, including all underlying software, algorithms, user interfaces, designs, text, graphics, logos, and other content provided by SR PRO Group, is owned by or licensed to SR PRO Group and is protected by copyright, trademark, patent, and other intellectual property laws. Except for the limited license granted in Section 5, these Terms do not grant you any rights in the Service or SR PRO Group's intellectual property.
12.2 Trademarks
"SmartCal," "SR PRO Group," "SR Professional Marketing," and related logos and trade names are trademarks or service marks of SR PRO Group. You may not use these marks without the prior written consent of SR PRO Group.
12.3 Feedback
If you provide SR PRO Group with suggestions, ideas, enhancement requests, or other feedback regarding the Service ("Feedback"), you hereby grant SR PRO Group a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and commercialize the Feedback without any obligation to you.
13. Privacy
SR PRO Group's collection, use, and disclosure of information about you and your use of the Service is governed by our Privacy Policy, available at https://smartcal.srpro.marketing/privacy-policy, which is incorporated into these Terms by this reference. By using the Service, you consent to the data practices described in the Privacy Policy.
14. Data Protection (GDPR and UK GDPR)
14.1 Scope
This section applies to the extent that SR PRO Group processes personal data of individuals located in the European Economic Area ("EEA"), the United Kingdom, or other jurisdictions with equivalent data protection laws (collectively, "Applicable Regions") in connection with providing the Service to you.
14.2 Data Controller and Processor
Depending on the context:
- Where SR PRO Group processes personal data to operate and improve the Service on its own behalf, SR PRO Group acts as a data controller.
- Where SR PRO Group processes personal data (such as registrant contact information) on your behalf and according to your instructions, SR PRO Group acts as a data processor and you act as the data controller.
14.3 Legal Bases for Processing
SR PRO Group processes personal data on one or more of the following legal bases where required by applicable data protection law: performance of a contract with you, our legitimate interests in operating and improving the Service, compliance with legal obligations, or your consent. Details of processing activities and legal bases are set out in our Privacy Policy.
14.4 International Data Transfers
The Service is hosted on servers located in Amsterdam, Netherlands (within the EEA). If you access the Service from outside the EEA, your data may be transferred to and processed within the EEA. Where personal data is transferred to third-party sub-processors located outside the EEA (including the United States), SR PRO Group will ensure such transfers are subject to appropriate safeguards, such as Standard Contractual Clauses approved by the European Commission or equivalent mechanisms recognized under applicable law.
14.5 Sub-processors
SR PRO Group uses the following third-party sub-processors in connection with the Service:

SR PRO Group will update this list as sub-processors are added or removed.
14.6 Data Subject Rights
To the extent required by applicable data protection law, individuals located in Applicable Regions may have rights including the right to access, rectify, erase, restrict processing of, or port their personal data, and the right to object to processing. Requests to exercise these rights should be directed to SR PRO Group using the contact information in Section 21. Additional information about how to exercise these rights is set out in our Privacy Policy.
14.7 Data Breach Notification
SR PRO Group will notify you of any personal data breach affecting your data without undue delay, and in any event within 72 hours of becoming aware, where required by applicable law.

Full details of SR PRO Group's data protection practices, including the types of data collected, purposes of processing, retention periods, and individual rights, are set out in our Privacy Policy at https://smartcal.srpro.marketing/privacy-policy.
15. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SR PRO GROUP EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:
- ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT;
- ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
- ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE;
- ANY WARRANTY THAT DEFECTS WILL BE CORRECTED.
YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM SR PRO GROUP OR THROUGH THE SERVICE, WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
Some jurisdictions do not allow the exclusion of implied warranties. To the extent these warranties cannot be excluded under applicable law, they are limited to the minimum scope and duration required by law.
16. Limitation of Liability
16.1 Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SR PRO GROUP, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS;
- LOSS OR CORRUPTION OF DATA OR CONTENT;
- COST OF SUBSTITUTE GOODS OR SERVICES;
ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF SR PRO GROUP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
16.2 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SR PRO GROUP'S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), WILL NOT EXCEED THE GREATER OF:
- THE TOTAL FEES PAID BY YOU TO SR PRO GROUP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR
- ONE HUNDRED UNITED STATES DOLLARS (USD $100).
WHERE YOUR CLAIM ARISES FROM FEES PAID IN THE PRECEDING SIX (6) MONTHS, THE CAP SHALL BE THE GREATER OF THOSE SIX MONTHS' FEES OR USD $100.
16.3 Essential Basis
THE LIMITATIONS OF LIABILITY IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES. THESE LIMITATIONS ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND SR PRO GROUP. SR PRO GROUP WOULD NOT PROVIDE THE SERVICE WITHOUT THESE LIMITATIONS.
16.4 Jurisdictional Exceptions
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, SR PRO Group's liability will be limited to the maximum extent permitted by applicable law.
17. Indemnification
You agree to defend, indemnify, and hold harmless SR PRO Group, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms;
- Your use or misuse of the Service;
- Your Data or any content you submit through the Service;
- Your violation of any third-party rights, including intellectual property rights, privacy rights, or rights under data protection law;
- Your violation of any applicable law or regulation;
- Any claims by your registrants or end users arising from calendar invitations sent through the Service on your behalf.
SR PRO Group reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with SR PRO Group's defense of such claims.
18. Third-Party Services
18.1 Third-Party Integrations
The Service integrates with third-party services including Google (Google Calendar, Google OAuth), Microsoft (Outlook, Microsoft OAuth), and DigitalOcean (hosting infrastructure). Your use of these third-party services is subject to their respective terms of service and privacy policies, which are separate from these Terms.
18.2 No Endorsement
SR PRO Group does not endorse, warrant, or assume responsibility for any third-party service, product, or website linked to or integrated with the Service. SR PRO Group has no control over third-party services and is not responsible for any loss or damage arising from your use of them.
18.3 Third-Party Terms
By using features of the Service that rely on third-party platforms, you agree to comply with:
- Google Terms of Service and Google API Services User Data Policy;
- Microsoft Services Agreement and Microsoft Privacy Statement;
- Stripe Services Agreement (when payment functionality is introduced).
19. Changes to Terms
SR PRO Group reserves the right to modify these Terms at any time. When we make material changes, we will notify you by:
- Sending an email to the address associated with your account; and/or
- Posting a notice within the Service; and/or
- Updating the "Effective Date" at the top of these Terms.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service before the changes take effect.
We encourage you to review these Terms periodically to stay informed of any updates.
20. General Provisions
20.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) will be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law principles.
20.2 Dispute Resolution and Jurisdiction
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Montgomery County, Maryland, United States. You and SR PRO Group each irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue.
Informal Resolution: Before initiating any formal legal proceeding, you agree to attempt to resolve any dispute by contacting SR PRO Group at the contact information in Section 21 and giving us a reasonable opportunity (no less than 30 days) to address your concern.
Class Action Waiver: To the extent permitted by applicable law, you agree that any dispute will be resolved on an individual basis only, and not as part of any class, consolidated, or representative action.
20.3 Entire Agreement
These Terms, together with the Privacy Policy and any additional terms expressly incorporated by reference, constitute the entire agreement between you and SR PRO Group with respect to the Service and supersede all prior and contemporaneous agreements, representations, and understandings between you and SR PRO Group relating to the Service.
20.4 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will continue in full force and effect.
20.5 No Waiver
SR PRO Group's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of SR PRO Group.
20.6 Assignment
You may not assign or transfer these Terms or any of your rights or obligations under these Terms without SR PRO Group's prior written consent. SR PRO Group may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of its assets. Any purported assignment in violation of this section will be null and void. These Terms will be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.
20.7 Notices
Notices to SR PRO Group under these Terms must be sent in writing to the contact information in Section 21. SR PRO Group may provide notices to you by email to the address associated with your account or by posting a notice within the Service. Notices are effective on the date of receipt.
20.8 Force Majeure
Neither party will be liable for any failure or delay in performance under these Terms to the extent such failure or delay is caused by circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, internet outages, or third-party infrastructure failures. The party affected by a force majeure event will give prompt written notice to the other party and will use commercially reasonable efforts to resume performance as soon as practicable.
20.9 Relationship of Parties
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, employment, or fiduciary relationship between you and SR PRO Group.
20.10 Language
These Terms are written in English. Any translation is provided for convenience only. In the event of any inconsistency between the English version and a translation, the English version will prevail.
