These Terms of Service govern your use of SmartCal as a tenant administrator or salesperson. Prospects who use a tenant-branded booking page are not direct parties to these Terms; their data rights are described in the SmartCal Privacy Policy. By accessing or using SmartCal you agree to be bound by these Terms.
1. Overview & Acceptance
SmartCal is a managed B2B demo-booking platform that routes inbound demo-request form submissions to the correct salesperson, manages meeting scheduling on Google Workspace and Microsoft 365 calendars, and synchronises booking activity with HubSpot. SmartCal is deployed as a managed service by SR PRO Group on behalf of client organisations (“tenants”).
SR PRO Group refers collectively to SR Professional Marketing Inc (a Maryland, US corporation) and SR Professional Marketing Ltd (an Israeli company), both wholly owned by Ronen Wasserman (“SR PRO,” “we,” “our,” or “us”). US and UK tenants are served under SR Professional Marketing Inc; Israeli tenants are served under SR Professional Marketing Ltd. The applicable entity is the “Service Provider” under these Terms.
By creating a SmartCal workspace account, connecting a calendar integration, or otherwise using SmartCal, you (“Tenant,” “Admin,” or “you”) agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy, which is incorporated herein by reference. If you are acting on behalf of a company or legal entity, you represent that you have authority to bind that entity. If you do not agree, do not access or use SmartCal.
2. Eligibility
- You must be at least 18 years old and have legal capacity to enter into binding contracts in your jurisdiction
- You must not be located in or subject to any country under US economic sanctions, or appear on any US government restricted-party list
- If entering these Terms on behalf of an organisation, you represent that you have authority to bind that organisation
- SmartCal is a B2B platform. Consumer or personal use is not permitted
3. Account Registration & Security
3.1 Account Creation
Tenant admins access SmartCal using their existing Google Workspace or Microsoft 365 identity. No separate SmartCal password is created. You agree to provide accurate and complete workspace configuration information and to keep it up to date.
3.2 Google Workspace & Microsoft 365 Authorisation
SmartCal accesses salesperson calendars solely to retrieve availability and create, update, or cancel meeting events on their behalf, as described in the Privacy Policy. Tenant admins are responsible for ensuring that connected salespeople have been informed that their calendar availability will be accessed by SmartCal. Calendar connections may be removed at any time via the SmartCal Integrations page or via the salesperson’s Google or Microsoft account settings.
3.3 Access Security
Tenant admins are responsible for maintaining the security of their workspace and for all activity under their SmartCal account. Notify us immediately at privacy@srpro.marketing if you suspect unauthorised access. We are not liable for losses resulting from failure to maintain secure account access.
3.4 Roles
Each SmartCal workspace operates with two roles: Admin (full configuration access, including routing rules, salesperson management, integrations, and settings) and Viewer (read-only access to booking data and dashboards). Roles are managed in the Team Access screen by workspace Admins. SR PRO manages initial workspace setup as part of the managed service.
4. Description of the Service
SmartCal Release 1 is a production pilot deployed as a managed service. It includes:
- Prospect form intake from the tenant’s existing Webflow demo-request form
- Configurable ordered routing rules based on submitted form fields, with a required fallback salesperson or queue
- Prospect-facing availability display showing the assigned salesperson’s available slots in the prospect’s local timezone
- Meeting booking with real-time slot confirmation to prevent double-booking
- Calendar event creation on the assigned salesperson’s Google Workspace or Microsoft 365 calendar
- Provider-native calendar invitation sent from the salesperson’s calendar account to both parties
- Secure prospect-facing reschedule and cancellation links (no prospect login required)
- HubSpot contact upsert and meeting-activity synchronisation with retry handling
- SmartCal admin application: booking dashboard, routing rules editor, salesperson management, integrations health, audit history, and team access management
- Managed setup, HubSpot field mapping, and ongoing support by the SR PRO agency team
4.1 Deferred Features (Not Included in Release 1)
The following features are not included in Release 1 and are not covered by these Terms at this time:
- Self-service billing or subscription management (pricing is governed by a separate statement of work or service agreement)
- Marketo adapter, advanced analytics, custom reporting
- Multiple meeting types, prospect-selected salesperson, round-robin or capacity-based routing
- Self-service tenant creation and onboarding
- Enterprise SSO beyond Google/Microsoft sign-in
SR PRO reserves the right to modify, update, or extend the Service. We will provide reasonable advance notice of material changes.
5. License Grant & Restrictions
5.1 License to You
Subject to your compliance with these Terms, SR PRO grants each tenant a limited, non-exclusive, non-transferable, revocable licence to access and use SmartCal solely for the tenant’s own internal business purposes during the engagement term.
5.2 Restrictions
You agree not to:
- Reverse engineer, decompile, or attempt to discover the source code of SmartCal
- Modify, translate, or create derivative works based on SmartCal
- Sublicense, resell, or transfer access to SmartCal to any third party
- Use SmartCal to build a competing product or service
- Remove or obscure any SR PRO or SmartCal proprietary notices
- Use SmartCal in any way that violates applicable law or these Terms
6. Tenant Obligations
As a tenant, you are responsible for the lawful operation of SmartCal within your organisation. You represent and warrant that:
- You have authority to connect the salesperson calendar accounts you configure in SmartCal, and that connected salespeople have been informed that SmartCal will access their calendar availability and create meeting events on their behalf
- Your demo-request form (e.g. your Webflow form) includes an appropriate privacy notice informing prospects that their data will be used to schedule a meeting and processed by SmartCal on your behalf
- You have obtained any consent required by applicable law (including anti-spam laws such as CAN-SPAM and CASL, and data protection regulations such as GDPR and CCPA) before prospect data flows into SmartCal
- The routing matrix, salesperson data, and HubSpot mapping you provide to SR PRO are accurate and lawfully obtained
- You will use SmartCal’s booking functionality only to schedule genuine, consented sales meetings and not to send unsolicited or deceptive calendar invitations
- You will notify SR PRO promptly of any change to your calendar provider, salesperson team, or routing requirements
7. Your Data & Content
7.1 Ownership
You retain all ownership rights in routing rules, prospect data, salesperson data, booking records, and other data you provide to or generate through SmartCal (“Tenant Data”). SR PRO does not claim ownership of Tenant Data.
7.2 Licence to SR PRO
By using SmartCal, you grant SR PRO a limited licence to process Tenant Data solely to provide and operate the Service on your behalf. This licence terminates upon tenant offboarding. SR PRO acts as your data processor for all prospect personal data; processing is subject to the data processing terms in Section 13 and the Privacy Policy.
7.3 Your Responsibilities
You are responsible for the accuracy and legality of all Tenant Data. SR PRO’s obligations under these Terms with respect to data do not reduce your obligations as data controller to prospects and salespeople under applicable data protection law.
7.4 Aggregated Data
SR PRO may collect and analyse aggregated, de-identified data about how SmartCal is used across all tenants to improve the platform. This data does not identify any individual tenant, salesperson, or prospect.
8. Google API Services
This section addresses SmartCal’s use of Google APIs and is required by Google’s API Services Terms of Service.
SmartCal’s use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. Specifically:
- SmartCal requests only the Google Calendar scope necessary to retrieve availability and create meeting events (https://www.googleapis.com/auth/calendar.events)
- Google user data is used solely to provide the calendar-booking features you have authorised and for no other purpose
- SmartCal does not use Google user data to serve advertisements, build user profiles, or train machine-learning models
- SmartCal does not transfer Google user data to third parties except as necessary to operate the Service and in compliance with the Google API Services User Data Policy
You acknowledge that your use of SmartCal’s Google integration is also subject to Google’s Terms of Service and Privacy Policy.
9. Microsoft 365 Integration
SmartCal’s use of Microsoft 365 Calendar APIs mirrors the principles described for Google in Section 8. SmartCal requests only the permissions necessary to retrieve salesperson availability and create meeting events (Calendars.ReadWrite). Microsoft user data is used solely to provide the calendar-booking features authorised by the tenant and for no other purpose. Your use of SmartCal’s Microsoft integration is also subject to Microsoft’s Services Agreement and Privacy Statement.
10. HubSpot Integration
SmartCal synchronises prospect contact records and creates meeting-activity records in the tenant’s HubSpot instance as part of the booking flow. The HubSpot field mapping and activity configuration will be defined by the SR PRO project manager based on the tenant’s existing HubSpot setup. The tenant is responsible for:
- Providing SR PRO with the access necessary to perform the HubSpot integration
- Ensuring that the prospect data entering HubSpot via SmartCal is covered by the tenant’s own HubSpot data processing terms
- Notifying SR PRO of any changes to HubSpot configuration that affect the SmartCal integration
11. Multi-Tenant Data Isolation
SmartCal is a multi-tenant platform. SR PRO implements tenant-aware authorisation on every request to ensure that:
- Each tenant’s booking data, routing rules, salesperson credentials, prospect records, and audit history are logically isolated from all other tenants
- No tenant can access another tenant’s data through any SmartCal interface or API
- SR PRO staff access Tenant Data only to the extent necessary to provide the managed service, on a need-to-know basis
- SR PRO does not use one tenant’s data to inform or improve another tenant’s operations
12. Prohibited Conduct
You agree not to use SmartCal to:
- Send unsolicited calendar invitations to individuals who have not consented to receive them
- Configure routing rules that discriminate unlawfully or route prospects based on protected characteristics
- Collect, process, or route special-category personal data (health, financial, biometric) through SmartCal without explicit disclosure to SR PRO and appropriate legal basis
- Attempt to gain unauthorised access to another tenant’s data or to SmartCal’s underlying infrastructure
- Interfere with the integrity or performance of SmartCal
- Use SmartCal in any way that violates applicable law, including anti-spam laws and data protection regulations
Violations may result in immediate suspension or termination of the tenant’s SmartCal workspace.
13. Data Protection
SR PRO processes prospect and salesperson personal data as a data processor acting on the tenant’s instructions. The tenant is the data controller for such data and is responsible for ensuring there is a lawful basis for processing.
Tenants who require a Data Processing Addendum (DPA) for GDPR, UK GDPR, or other applicable data protection law compliance may request one by contacting privacy@srpro.marketing. The DPA, once executed, forms part of these Terms and governs all processing of personal data carried out by SR PRO on the tenant’s behalf.
SR PRO’s data protection practices, international transfer mechanisms, sub-processor list, and prospect rights framework are described in the SmartCal Privacy Policy, which is incorporated into these Terms by reference.
14. Service Delivery & Pricing
SmartCal Release 1 is delivered as a managed service. Pricing, scope, delivery timeline, and billing are governed by the separate statement of work or service agreement between SR PRO and the tenant, not by self-service subscription selection within the SmartCal platform.
SR PRO will notify the tenant of any changes to the scope of the managed service with reasonable advance notice. Either party may terminate the engagement per the terms of the applicable service agreement.
14.1 Offboarding & Data Return
Upon conclusion of the engagement, SR PRO will: (a) cease all processing of Tenant Data within 60 days of the cessation date; (b) return or delete all copies of Tenant Data within SR PRO’s working environment per the tenant’s election; and (c) provide written confirmation of deletion upon request. Booking records may be retained for audit and reporting purposes for the period specified in the service agreement.
15. Intellectual Property
15.1 SR PRO IP
SmartCal, including all software, booking flow logic, routing engine, admin interface, visual design, trademarks, and service marks, is the exclusive property of SR Professional Marketing Inc and its licensors. All rights not expressly granted are reserved.
15.2 Tenant Branding
The prospect-facing booking experience is tenant-branded (displaying the tenant’s logo, colours, and messaging). Tenant branding assets provided to SR PRO are the tenant’s property. SmartCal may display a “Powered by SmartCal” attribution on prospect-facing pages.
15.3 Feedback
If you provide suggestions, ideas, or enhancement requests about SmartCal, you grant SR PRO a royalty-free, worldwide, irrevocable, perpetual licence to use and incorporate that feedback into any SR PRO product without obligation to you.
15.4 DMCA / Copyright Infringement
If you believe your copyrighted work has been infringed on SmartCal, send a written notice to privacy@srpro.marketing. SR PRO will respond in accordance with the DMCA.
16. Warranties & Disclaimer
16.1 Service Commitment
SR PRO warrants that SmartCal will perform materially in accordance with the product description in Section 4 under normal operating conditions. SR PRO will use commercially reasonable efforts to maintain the booking flow and calendar integrations. If SmartCal fails to perform materially, the tenant’s sole remedy is SR PRO’s re-performance or, where re-performance is not feasible, a prorated adjustment under the applicable service agreement.
16.2 Disclaimer
EXCEPT AS SET FORTH IN SECTION 16.1, SMARTCAL IS PROVIDED "AS IS" AND "AS AVAILABLE." SR PRO EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SR PRO DOES NOT WARRANT THAT SMARTCAL WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT CALENDAR PROVIDER APIS (GOOGLE, MICROSOFT) WILL REMAIN AVAILABLE OR UNCHANGED.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SR PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF SMARTCAL, INCLUDING LOSS OF BOOKINGS, LOSS OF PROSPECT DATA, CALENDAR SYNC FAILURES, OR HUBSPOT INTEGRATION ERRORS, EVEN IF SR PRO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SR PRO’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY THE TENANT TO SR PRO IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US $100).
Some jurisdictions do not allow exclusion of certain warranties or limitation of liability. In those jurisdictions, the above limitations apply to the extent permitted by law.
18. Indemnification
You agree to indemnify, defend, and hold harmless SR PRO, its affiliates, directors, officers, employees, and agents from and against any claims, losses, damages, and expenses (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your failure to obtain required consent from prospects or salespeople for the use of their data; (c) your routing rules, HubSpot configuration, or Webflow form setup; (d) your use of SmartCal in violation of applicable law; or (e) any claim by a prospect, salesperson, or third party arising from your instructions to SR PRO.
19. Third-Party Services
SmartCal integrates with Google Workspace Calendar, Microsoft 365 Calendar, HubSpot, and Webflow. SR PRO is not responsible for the availability, accuracy, or practices of these third-party services. Changes to third-party APIs may affect SmartCal’s functionality; SR PRO will use commercially reasonable efforts to adapt. Your use of connected third-party services is governed by their respective terms and privacy policies.
20. Changes to These Terms
SR PRO may update these Terms from time to time. For material changes, we will notify tenant admins by email at least 14 days before the changes take effect. For minor or non-material changes, updating the “Last Revised” date constitutes sufficient notice. Continued use after the effective date constitutes acceptance of the revised Terms.
21. General Provisions
21.1 Governing Law
These Terms are governed by the laws of the State of Maryland, United States, without regard to its conflict-of-laws principles.
21.2 Dispute Resolution
Any dispute arising out of or related to these Terms or SmartCal shall first be submitted for good-faith informal resolution by contacting privacy@srpro.marketing with a written description of the dispute. If not resolved within 30 days, the parties agree to attempt non-binding mediation before initiating litigation. Any remaining dispute shall be subject to the exclusive jurisdiction of the state and federal courts located in Montgomery County, Maryland. Both parties irrevocably consent to such jurisdiction. This clause does not apply to claims for urgent injunctive or intellectual property relief.
21.3 Class Action Waiver
To the extent permitted by applicable law, each party waives any right to bring or participate in a class action, collective action, or representative proceeding against the other.
21.4 Entire Agreement
These Terms, together with the Privacy Policy, any applicable DPA, and any applicable statement of work or service agreement, constitute the entire agreement between the parties regarding SmartCal and supersede all prior agreements.
21.5 Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force.
21.6 No Waiver
SR PRO’s failure to enforce any right or provision does not constitute a waiver of that right or provision.
21.7 Assignment
You may not assign these Terms without SR PRO’s prior written consent. SR PRO may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
21.8 Force Majeure
SR PRO will not be liable for delay or failure to perform resulting from causes outside its reasonable control, including acts of God, pandemics, internet or cloud infrastructure outages, or changes to third-party API availability.
21.9 Language
These Terms are written in English. In the event of any conflict between an English version and a translation, the English version prevails.
21.10 Survival
Upon termination, sections that by their nature survive will continue to apply, including Sections 7.3 (tenant’s legal representations regarding Tenant Data), 11 (Multi-Tenant Data Isolation obligations), 15 (Intellectual Property), 16.2 (Disclaimer), 17 (Limitation of Liability), 18 (Indemnification), and 21 (General Provisions). Survival of these sections preserves legal rights and obligations only; it does not authorise SR PRO to retain any Tenant Data or prospect personal data beyond the offboarding timelines in Section 14.1.
